Terms and Conditions

Overview | App SDK | REST API

1. Scope & Definitions#

Perare SDK Application Programming Interface provided by PT Perare ("Company"), enabling Customers to access processed publicly available data and Third-Party Data.
Company: PT Perare, a company registered under the laws of Indonesia.
Customer: Entity or individual authorized to access and use Perare SDK.
Third-Party Data: Data owned by third parties and transferred through Perare SDK upon separate agreement.
Service Fees: Charges by Perare for processing, hosting, managing, infrastructure maintenance, security, and transmitting data via the SDK. Fees are charged per SDK endpoint request; the underlying data itself is publicly accessible without charge from original public sources.
Authorized Use: Legitimate business uses explicitly permitted by this agreement.

2. License & Restrictions#

1.
Company grants the Customer a non-exclusive, non-transferable, revocable license to use the Perare SDK solely for legitimate business purposes.
2.
Customer shall not:
Conduct automated or manual bulk data harvesting, unauthorized data extraction, or similar activities (including but not limited to "parking scraping");
Reverse-engineer, decompile, disassemble, modify, or otherwise circumvent any security measures of the Perare SDK;
Engage in actions causing or intended to cause service disruption, denial-of-service attacks, degradation, or interference with SDK performance;
Share SDK access credentials or data obtained through SDK with unauthorized third parties without explicit permission;
Use the Perare SDK in any manner violating applicable laws or regulations in Indonesia.
3.
Company reserves the right to monitor SDK usage and suspend or terminate access immediately upon detection of unauthorized or harmful activities.
Authorized Business Uses (Examples):
Integration of Perare SDK data into Customer’s internal GIS or analytical systems for business decision-making.
Display of processed data through Customer-operated platforms or applications, respecting the restrictions and IP rights outlined in this agreement.
Market analysis or research, provided outputs respect confidentiality and IP rights stipulated by Company.

3. Fees & Payment#

1.
Customer agrees to pay Service Fees based on specific SDK endpoint usage. Service Fees explicitly cover costs associated only with technical infrastructure, data processing, hosting, SDK management, security maintenance, and transmission via Perare SDK.
Explicit Clarification:
The underlying data itself remains publicly accessible without charge from original public sources. Customers acknowledge that endpoint fees cover solely the convenience, technical infrastructure, and management provided by Perare, and not the underlying data itself.
2.
Any Third-Party Data transferred through Perare SDK will incur additional charges based strictly on commission fees determined through separate agreements. Actual data costs are set exclusively by the respective third-party provider.

4. Data Legitimacy & Compliance#

1.
All data provided through Perare SDK originates from legal, open, and publicly supported sources.
2.
Company guarantees compliance with applicable Indonesian laws and regulations concerning data usage and provision.
3.
Customer warrants that their use of data through Perare SDK complies fully with Indonesian laws and regulations.

5. Intellectual Property#

1.
All intellectual property rights related to Perare SDK, including underlying technology, algorithms, documentation, remain solely owned by Company.
2.
Customer acquires no rights or claims over Company's intellectual property through this Agreement.

6. Confidentiality, Privacy & Security#

1.
Customer agrees to maintain confidentiality and security of SDK credentials (keys, tokens, passwords), documentation, and any confidential or sensitive information received from Company.
2.
Customer undertakes responsibility to implement reasonable and industry-standard security measures to prevent unauthorized access to or use of Perare SDK, promptly notifying Company of any detected breaches or unauthorized SDK usage.
3.
Both parties agree to comply fully with Indonesia’s Personal Data Protection Law and other applicable regulations.

7. Service Levels & Support#

1.
Company guarantees SDK availability at 99% uptime per calendar month, excluding scheduled maintenance or force majeure.
2.
Company provides standard technical support via email during standard business hours, with responses within 24 hours of receiving Customer inquiries.

8. Warranties & Disclaimers#

1.
Company provides Perare SDK "as is" and "as available," disclaiming all other warranties, whether express or implied.
2.
Company's liability is limited to the total fees paid by Customer during the preceding 12-month period.

9. Indemnification & Liability#

1.
Customer explicitly agrees to indemnify, defend, and hold harmless the Company, its affiliates, officers, employees, and agents against any claims, losses, liabilities, costs (including legal fees), damages, or actions arising directly or indirectly from:
Misuse or unauthorized use of Perare SDK by Customer;
Violations of data protection or intellectual property regulations attributable to Customer actions;
Technical disruptions or system damage resulting from Customer’s violation of usage restrictions outlined in these Terms.
2.
Neither party will be liable for consequential, incidental, indirect, punitive, or special damages, including lost profits or business opportunities.

10. Term, Termination & Suspension#

1.
This Agreement remains effective for a minimum term of 12 months, automatically renewable unless terminated by either party with 30 days written notice.
2.
Company may immediately suspend or terminate Customer access upon breach of these Terms, non-payment, or unauthorized use.
3.
Upon termination, Customer must immediately cease API usage and delete any stored confidential information.

11. Governing Law & Dispute Resolution#

1.
These Terms are governed by the laws of the Republic of Indonesia.
2.
Disputes will first seek resolution through good-faith mediation in Jakarta. Failing resolution, disputes will be adjudicated exclusively by competent courts in Jakarta, Indonesia.

12. Miscellaneous#

1.
Force Majeure: Neither party is liable for failure to perform due to unforeseen circumstances beyond their control.
2.
Assignment: Customer may not assign rights or obligations under these Terms without Company's prior written consent.
3.
Amendments: Company may amend these Terms with 30 days prior written notice. Continued use constitutes acceptance.
4.
Entire Agreement: These Terms constitute the entire agreement, superseding any prior understandings or agreements between parties regarding Perare SDK.
